RWA (Real World Assets) Service Agreement

Welcome to the RWA (Real World Assets) product services provided by ETZ Exchange (hereinafter referred to as "this platform" or "ETZ"). Before you click "Confirm Purchase" or participate in this service in any way, please carefully read and fully understand all terms of this agreement, especially the disclaimer clauses that exempt or limit platform liability, risk disclosure clauses, and jurisdiction clauses.

Once you check the box and click confirm, it shall be deemed that you have fully understood, comprehended, and unconditionally accepted all contents of this agreement, and this agreement shall become legally binding between you and ETZ.

Article 1: Service Definition and Positioning

Service Overview: ETZ RWA product service refers to a channel and technical access service provided by the platform to users. ETZ assists users in mapping their held specific digital assets (such as USDT) through compliant off-chain issuers and licensed custodian institutions, and participating in tokenized investments of high-quality real-world assets (such as government bonds, money market funds, etc.).
Platform Role Declaration: ETZ serves solely as a technology platform and interface provider, and is not the direct issuer, seller, or custodian of the underlying real-world assets (RWA). All procurement, settlement, interest distribution, and trust management of the underlying real-world assets are independently handled by licensed third-party partner institutions.

Article 2: User Qualification and Compliance Commitment

Identity Authentication: Users must complete KYC (real-name authentication) as required by ETZ and complete security verification binding.
Compliance Commitment: The user commits that the digital assets used for subscribing to RWA products are sourced entirely legally and in compliance, and do not involve money laundering, terrorist financing, or other illegal and criminal activities.
Territorial Restrictions: Users confirm that they are not from sanctioned, restricted countries or regions where this platform explicitly prohibits providing RWA or crypto asset services.

Article 3: Rules on Application, Interest Accrual, and Asset Lock-up

Placing an order and deducting funds: After the user places an order and enters the subscription amount, the system will deduct the corresponding digital assets from the user's spot account in real time.
Asset Lock-up: After a successful subscription, the digital assets will immediately enter an on-chain lock-up state. During the lock-up period, these assets cannot be traded, withdrawn, transferred, or staked until the product matures and unlocks or specific early redemption conditions are met.
Interest Accrual and Settlement Lag: The user understands and agrees that RWA products involve the settlement of real assets in traditional financial markets. Therefore, there is a settlement lag between successful subscription and the formal calculation of interest (typically T+1 to T+2 business days, with specific details as shown on the subscription page). During the settlement period before formal interest accrual begins, locked assets do not generate any returns.

Article 4: Distribution of Returns and Redemption

Revenue Distribution: Revenue originates from real interest generated by underlying assets in the real world and is distributed by the off-chain issuer according to the agreed settlement method and schedule. Upon receiving the off-chain distribution, ETZ will automatically transfer the revenue (converted into corresponding digital assets) to the user's account.
Maturity Redemption: After the expiration of Fixed Lock-up products, the system will automatically unlock the position within 24 hours and return the principal and accrued earnings to the user's spot account through the original channel.
Early Redemption Restrictions: Once certain RWA products are purchased, they strictly do not support early unlocking or redemption before maturity. For products that support early liquidation, users must bear the discount losses, bid-ask spreads, and liquidity service fees resulting from early closing in traditional financial markets.

Article 5: Independent Trust (SPV) and Bankruptcy Isolation

Bankruptcy Isolation Mechanism: RWA cooperation projects introduced by this platform typically adopt independent special purpose vehicles (SPVs) and trust structures. Users acknowledge and agree that the underlying assets are independent from the ETZ platform and the issuer's own assets.
Extreme Liquidation Protection: In the event of extreme legal contingencies such as bankruptcy of the issuer or platform, the underlying assets shall not be part of the bankruptcy estate by law and will be liquidated by the custodian bank or trust liquidator in accordance with law, with proceeds distributed to token holders on a pro-rata basis. Users agree that the timeline for such off-chain liquidation is entirely dependent on the progress of traditional judicial procedures, and ETZ shall not bear joint and several liability for liquidation delays or losses caused by force majeure.

Article 6: Risk Disclosure and Disclaimer

Users participating in RWA product subscriptions must bear the following risks at their own expense, and ETZ assumes no liability for compensation:

Traditional market risks: including bond price volatility risks caused by US Federal Reserve interest rate adjustments, and risks of traditional financial market closures or liquidity shortages.
Exchange Rate Risk: The underlying assets are mostly priced in US dollars (USD). Users need to bear the potential indirect gains or losses resulting from sharp fluctuations in the exchange rate between digital assets and fiat currencies.
Third-party compliance risk: For any technical failures, settlement delays caused by administrative penalties, license changes, or legal disputes involving off-chain issuers, custodian banks, or audit institutions, ETZ will actively assist users in pursuing claims, but will not assume direct liability or compensation responsibility.
Zero handling fee non-inclusion explanation: Any trading pairs generated due to zero handling fees or specific activities, the trading volume generated shall not be included in the user's VIP level statistics.

Article 7: Modification and Termination of the Agreement

Interpretation and Amendment Rights: ETZ Trading Platform reserves the final right to interpret this Agreement and related RWA business rules. The Platform has the right to revise the terms of this Agreement based on changes in international laws and regulations, regulatory policies, and extreme market fluctuations. The revised Agreement shall take effect immediately upon publication on the official website.
Risk Control Reserve: If a user is found to engage in unauthorized activities such as exploiting system vulnerabilities, malicious volume manipulation, or other behaviors that trigger the platform's risk control mechanisms, ETZ reserves the right to enforce extended asset lockup on their RWA assets, cancel rewards, or even restrict account functionality.

Article 8: Governing Law and Dispute Resolution

The establishment, effectiveness, performance, interpretation, and dispute resolution of this agreement shall be governed by the laws of the jurisdiction where the platform entity is registered. If any dispute arises between the parties regarding this agreement, it shall first be resolved through friendly negotiation; if negotiation fails, either party shall have the right to submit the dispute to the arbitration commission in the designated region specified by this platform for final arbitration in accordance with its arbitration rules in effect at that time.
